End User License Agreement

Xigna Terms of Service

Effective Date: 1st of July 2026

These Terms of Service ("Terms") govern your access to and use of the Xigna platform, website, software, APIs, integrations, reports, analytics tools, decision support engines, and related services (collectively, the "Services").

By creating an account, accessing, or using Xigna, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Services.


1. About Xigna

Xigna is a financial intelligence and decision support platform designed to help organizations analyze financial information, monitor financial health, evaluate risks, identify trends, and model potential business outcomes.

Xigna is not a bank, accounting firm, audit firm, law firm, tax advisor, broker, investment advisor, or fiduciary.

Xigna provides software tools and informational outputs only.


2. Eligibility

You may use Xigna only if:

  • you are legally permitted to enter into binding agreements;
  • you comply with all applicable laws and regulations;
  • you have authority to act on behalf of the organization you register.

If you register on behalf of an organization, you represent that you have authority to bind that organization to these Terms.


3. Account Responsibilities

You are responsible for:

  • maintaining the confidentiality of your credentials;
  • restricting access to your account;
  • all activities occurring under your account;
  • ensuring information provided to Xigna remains accurate and current.

You must notify Xigna immediately if you believe your account has been compromised.


4. Subscription and Fees

Certain features may require a paid subscription.

You agree to pay all applicable fees associated with your selected plan.

Unless otherwise stated:

  • fees are billed in advance;
  • subscriptions renew automatically;
  • taxes are your responsibility unless otherwise required by law.

Failure to pay may result in suspension or termination of Services.


5. Third-Party Integrations

Xigna may integrate with third-party platforms, including but not limited to:

  • QuickBooks Online;
  • Xero;
  • accounting systems;
  • banking systems;
  • ERP systems;
  • payment providers;
  • other financial or operational software.

When you authorize an integration:

  • you grant Xigna permission to access data you explicitly authorize;
  • you retain ownership of your data;
  • you may revoke access at any time through the applicable provider or through Xigna where available.

Xigna is not responsible for the availability, accuracy, functionality, or actions of third-party providers.


6. Data Ownership

You retain ownership of all information, financial records, transactions, documents, and other content you upload or authorize Xigna to access.

Xigna does not claim ownership of your data.

You grant Xigna a limited license to store, process, analyze, transmit, and display your data solely for the purpose of operating and improving the Services.


7. Financial Intelligence and Decision Support

Xigna provides analytics, forecasts, simulations, health indicators, recommendations, insights, and decision support outputs.

These outputs:

  • are informational in nature;
  • are generated using software models;
  • may rely on incomplete, inaccurate, or outdated information;
  • may contain assumptions;
  • do not constitute professional advice.

You remain solely responsible for all business, accounting, financial, legal, tax, investment, lending, operational, and management decisions.

You should obtain independent professional advice where appropriate.


8. No Professional Advice

Xigna does not provide:

  • accounting advice;
  • tax advice;
  • audit opinions;
  • legal advice;
  • investment advice;
  • fiduciary services;
  • lending advice;
  • regulatory advice.

No information provided by Xigna should be interpreted as a substitute for professional advice.


9. No Guarantees

Xigna does not guarantee:

  • profitability;
  • financial improvement;
  • compliance;
  • solvency;
  • successful business outcomes;
  • prevention of losses;
  • regulatory approval;
  • tax outcomes.

Past performance, forecasts, simulations, and projections do not guarantee future results.


10. Artificial Intelligence Features

Xigna may use artificial intelligence, machine learning models, statistical models, automated rules, or predictive algorithms.

AI-generated outputs:

  • may contain inaccuracies;
  • may produce incorrect recommendations;
  • may be incomplete;
  • should be independently reviewed.

You acknowledge that automated outputs should not be relied upon as the sole basis for important decisions.


11. Availability

Xigna strives to maintain high availability but does not guarantee uninterrupted service.

Services may be unavailable due to:

  • maintenance;
  • updates;
  • outages;
  • third-party failures;
  • security events;
  • force majeure events.

12. Security

Xigna implements commercially reasonable administrative, technical, and organizational safeguards intended to protect customer information.

However, no system can guarantee absolute security.

You acknowledge and accept this risk.


13. Acceptable Use

You may not:

  • violate laws;
  • upload malicious software;
  • interfere with Services;
  • attempt unauthorized access;
  • reverse engineer the platform except where prohibited by law;
  • scrape data;
  • exploit vulnerabilities;
  • use the Services for fraud, money laundering, or illegal activities;
  • misuse API access.

14. Intellectual Property

Xigna retains all rights, title, and interest in:

  • software;
  • algorithms;
  • models;
  • interfaces;
  • trademarks;
  • documentation;
  • designs;
  • reports generated by the platform, excluding your underlying data.

Nothing in these Terms transfers ownership of Xigna intellectual property.


15. Suspension and Termination

Xigna may suspend or terminate accounts that:

  • violate these Terms;
  • create security risks;
  • engage in fraudulent activities;
  • fail to pay applicable fees;
  • misuse the Services.

You may terminate your account at any time.


16. Data Export and Deletion

Subject to applicable law and technical limitations, Xigna will provide reasonable means to export or delete your data.

Certain information may be retained:

  • for legal obligations;
  • dispute resolution;
  • security purposes;
  • backup retention periods.

17. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by law, Xigna disclaims all warranties, express or implied, including:

  • merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • uninterrupted availability;
  • accuracy;
  • reliability.

18. Limitation of Liability

To the maximum extent permitted by law, Xigna shall not be liable for:

  • lost profits;
  • lost revenue;
  • loss of business opportunities;
  • loss of goodwill;
  • data loss;
  • indirect damages;
  • consequential damages;
  • incidental damages;
  • punitive damages.

Xigna's total liability arising from the Services shall not exceed the total fees paid by you to Xigna during the twelve months preceding the claim.


19. Indemnification

You agree to indemnify and hold harmless Xigna and its affiliates, officers, directors, employees, and contractors from claims arising from:

  • your use of the Services;
  • your violation of these Terms;
  • your violation of applicable laws;
  • your data;
  • your decisions based on Xigna outputs.

20. Changes to These Terms

Xigna may modify these Terms from time to time.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.


21. Governing Law

These Terms shall be governed by the laws of the jurisdiction specified by Xigna following incorporation, without regard to conflict of law principles.
