1. Purpose

This Master Definitions & Legal Style Guide establishes the official legal terminology used throughout all Xigna legal documentation.

Its purpose is to ensure consistency across all customer-facing documents, including but not limited to:

  • Software as a Service Agreement (Terms of Service)
  • Privacy Policy
  • Cookie Policy
  • Security & Data Protection Statement
  • AI Transparency & Responsible AI Policy
  • Data Processing Addendum
  • Acceptable Use Policy
  • Service Level Agreement
  • Compliance Statement
  • Disclaimer
  • Future legal documentation

Where a defined term appears capitalized in any Xigna legal document, it shall carry the meaning assigned within this Guide unless expressly stated otherwise.


2. Company Identity

For the purposes of all documentation:

"Xigna" means the online Software-as-a-Service platform providing financial intelligence, business analytics, compliance monitoring, forecasting, reporting, and decision-support capabilities.

Until incorporation, "Xigna" refers to the project and service under development.

Following incorporation, "Xigna" shall also include its successors, affiliates, subsidiaries, assigns, and the legal entity operating the Service.


3. Service

The Service means every component made available through the Xigna platform, including:

  • web application
  • APIs
  • integrations
  • reports
  • dashboards
  • simulations
  • compliance tools
  • AI-generated insights
  • documentation
  • software updates
  • related services.

4. Customer

A Customer means any legal business entity that creates an account to use the Service.

Xigna is intended solely for business use.


5. Authorized User

An Authorized User means an employee, contractor, accountant, advisor or other individual authorized by the Customer to access the Service.


6. Customer Data

Customer Data means every item of information uploaded, entered, synchronized or generated from Customer business records.

Examples include:

  • accounting transactions
  • journal entries
  • invoices
  • bills
  • payroll information
  • vendor information
  • customer information
  • financial statements
  • trial balances
  • general ledger
  • chart of accounts
  • tax information
  • reports
  • uploaded files

Customer Data remains the exclusive property of the Customer.


7. Accounting Data

Accounting Data means structured bookkeeping and accounting records obtained from supported accounting systems.

Examples include:

  • QuickBooks Online
  • Xero

Future supported systems shall automatically become included.


8. Financial Intelligence

Financial Intelligence means analytical outputs generated by Xigna using Customer Data.

Examples include:

  • KPIs
  • liquidity analysis
  • profitability analysis
  • working capital analysis
  • solvency analysis
  • risk indicators
  • financial trends
  • benchmarking
  • forecasting
  • recommendations
  • simulations

9. Financial Intelligence Engine

The Financial Intelligence Engine is the collection of proprietary algorithms that transform Customer Data into Financial Intelligence.


10. Compliance Engine

The Compliance Engine evaluates Customer Data against predefined financial and regulatory rules to identify potential compliance risks, unusual activity and informational alerts.

The Compliance Engine provides informational outputs only.


11. Decision Simulation Engine

The Decision Simulation Engine models hypothetical business decisions using Customer financial information.

Example scenarios include:

  • hiring employees
  • purchasing equipment
  • obtaining financing
  • expanding operations
  • adjusting pricing
  • increasing payroll
  • reducing expenses

Simulation outputs represent estimates only.

Actual business outcomes may differ.


12. AI Insights

AI Insights are narrative explanations generated using artificial intelligence technologies.

AI Insights are intended solely to improve understanding of Customer Data.

AI Insights do not constitute professional advice.


13. ERP Integration

ERP Integration means the secure connection between Xigna and supported accounting platforms.

Initially supported:

  • QuickBooks Online
  • Xero

14. Third-Party Services

Third-Party Services include external software providers used by Xigna.

Examples include:

  • accounting software
  • hosting providers
  • cloud infrastructure
  • authentication providers
  • artificial intelligence providers

15. Confidential Information

Confidential Information includes all non-public information disclosed by either party relating to business operations, technology, software, financial information or intellectual property.


16. Personal Information

Personal Information has the meaning assigned under applicable Canadian privacy legislation.


17. Intellectual Property

Intellectual Property includes:

  • software
  • source code
  • object code
  • documentation
  • trademarks
  • copyrights
  • trade secrets
  • algorithms
  • proprietary financial models
  • user interface
  • branding

All Intellectual Property remains the exclusive property of Xigna unless expressly stated otherwise.


18. Subscription

Subscription means the Customer's right to access the Service under the applicable pricing plan.


19. Availability

Availability refers to the operational accessibility of the Service, excluding scheduled maintenance and Force Majeure events.


20. Force Majeure

Force Majeure includes events beyond reasonable control, including:

  • natural disasters
  • war
  • terrorism
  • civil unrest
  • governmental action
  • widespread internet failures
  • cloud infrastructure failures
  • cyber attacks
  • labour disputes

21. Governing Law

Unless otherwise stated, all legal documentation shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.


22. Interpretation Principles

Unless the context requires otherwise:

  • singular includes plural;
  • headings are for convenience only;
  • "including" means "including without limitation";
  • references to legislation include future amendments.

23. Legal Positioning Statement

Xigna is a financial intelligence and decision-support platform.

Xigna is not:

  • a public accounting firm;
  • a tax preparation service;
  • a legal advisory service;
  • an investment advisory service;
  • an auditing firm;
  • a fiduciary;
  • a licensed financial planning service.

All outputs generated by the Service are intended solely to support business decision-making.

Customers remain solely responsible for all business decisions, financial reporting, tax compliance, regulatory compliance, and professional judgments.


24. Artificial Intelligence Position

Xigna may use artificial intelligence technologies to enhance analytical outputs.

Customer Data shall not be used to train public or proprietary artificial intelligence models unless the Customer has provided explicit written consent.

Customer Data remains under Customer ownership at all times.


25. Document Governance

This Guide serves as the authoritative source of legal terminology for all Xigna documentation.

Any future legal document shall conform to these definitions unless explicitly amended by a later version of this Guide.
