1. Introduction
Welcome to Xigna.
This Software as a Service Agreement ("Agreement") governs access to and use of the Xigna platform, websites, applications, integrations, APIs, documentation, reports, dashboards, simulations, compliance tools, artificial intelligence features, and related services (collectively, the "Service").
By creating an account, connecting an accounting system, uploading data, accessing the Service, or otherwise using any portion of the Service, the Customer agrees to be legally bound by this Agreement.
If the Customer does not agree to these Terms, the Customer must not use the Service.
2. About Xigna
Xigna is a Software-as-a-Service platform designed to assist businesses through financial intelligence, business analytics, compliance monitoring, reporting, forecasting, and decision-support capabilities.
Xigna provides informational tools intended to assist business users in understanding financial information.
Xigna does not replace professional judgment or regulated professional services.
3. Definitions
Capitalized terms shall have the meanings assigned in the Xigna Master Definitions & Legal Style Guide.
Unless otherwise stated, those definitions form part of this Agreement.
4. Eligibility
The Service is intended exclusively for business use.
By using the Service, the Customer represents and warrants that:
- it is a legally recognized business entity or an authorized representative of one;
- it possesses authority to enter into this Agreement;
- all information supplied is accurate and complete;
- use of the Service complies with applicable laws.
The Service is not intended for personal, household, or consumer use.
5. Business Users Only
Xigna is designed solely for commercial and professional purposes.
The Service is intended for:
- corporations;
- partnerships;
- sole proprietors;
- accounting firms;
- bookkeepers;
- financial consultants;
- business advisors;
- authorized employees.
Xigna may suspend or terminate accounts used primarily for consumer purposes.
6. Account Registration
The Customer must maintain an active account.
The Customer agrees to:
- provide accurate registration information;
- maintain current contact details;
- safeguard login credentials;
- promptly notify Xigna of unauthorized access.
The Customer is responsible for all activity occurring under its account.
7. Authorized Users
Customers may authorize employees, contractors, accountants, advisors, or other personnel to access the Service.
The Customer remains responsible for:
- Authorized User activity;
- compliance with this Agreement;
- management of user permissions;
- removal of access when personnel leave.
8. Subscription
Access to the Service may require an active subscription.
Subscription plans may differ by:
- features;
- integrations;
- storage;
- usage limits;
- support level;
- AI capabilities.
Subscription details are published separately on the Xigna website.
9. License
Subject to this Agreement, Xigna grants the Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the active subscription period.
This license does not transfer ownership of any intellectual property.
10. Customer Data Ownership
The Customer retains full ownership of all Customer Data.
Nothing within this Agreement transfers ownership of Customer Data to Xigna.
Xigna receives only the limited rights necessary to:
- store Customer Data;
- process Customer Data;
- analyze Customer Data;
- generate reports;
- provide Financial Intelligence;
- provide Compliance monitoring;
- generate AI Insights;
- perform Decision Simulations;
- improve operation of the Service.
Customer Data shall not be sold.
Customer Data shall not be licensed to third parties.
Customer Data shall not be used to train artificial intelligence models without explicit Customer consent.
11. Supported Integrations
The Service may connect to supported third-party accounting systems.
Initially supported platforms include:
- QuickBooks Online
- Xero
Future integrations may be added without amendment to this Agreement.
Customers remain responsible for maintaining valid third-party accounts.
Xigna is not responsible for downtime or changes made by third-party providers.
12. Customer Responsibilities
Customers agree to:
- maintain accurate accounting records;
- upload lawful data;
- comply with applicable laws;
- review reports before relying upon them;
- verify accounting information;
- maintain appropriate internal controls.
Customers remain solely responsible for all accounting entries and financial records.
13. Financial Intelligence Services
The Service generates analytical outputs derived from Customer Data.
Examples include:
- KPI calculations;
- trend analysis;
- liquidity metrics;
- profitability analysis;
- cash-flow analytics;
- solvency indicators;
- working capital analysis;
- forecasting;
- benchmarking.
These outputs are informational in nature.
14. Compliance Engine
Xigna includes automated compliance monitoring capabilities.
Compliance outputs may identify:
- unusual transactions;
- informational alerts;
- financial anomalies;
- potential compliance concerns;
- bookkeeping inconsistencies;
- data quality issues.
Compliance outputs are intended solely to assist Customers in identifying matters requiring further review.
Xigna does not certify legal or regulatory compliance.
15. Decision Simulation Engine
Xigna may provide business decision simulations.
Simulation scenarios may include:
- hiring employees;
- financing decisions;
- equipment purchases;
- pricing changes;
- expansion planning;
- operational investments.
Simulation outputs are estimates derived from historical Customer Data and assumptions.
Actual results may differ materially.
Simulation outputs should not be interpreted as guarantees of future performance.
16. Artificial Intelligence Features
Xigna may provide AI-generated summaries, explanations, observations, and recommendations.
AI-generated outputs are intended solely to assist Customers in interpreting financial information.
Artificial intelligence technologies may produce inaccurate, incomplete, or outdated information.
Customers must independently verify all significant business decisions.
17. No Professional Advice
The Service provides informational analytics and decision-support tools only.
Xigna does not provide:
- accounting advice;
- auditing services;
- bookkeeping services;
- tax advice;
- legal advice;
- investment advice;
- financial planning services;
- fiduciary services;
- insurance advice;
- regulatory opinions.
No information provided through the Service shall constitute professional advice.
Customers should consult appropriately qualified professionals before making material financial, tax, legal, regulatory, investment, or business decisions.
18. Customer Decisions
The Customer remains solely responsible for:
- accounting records;
- tax filings;
- financial reporting;
- regulatory compliance;
- lending decisions;
- investment decisions;
- business strategy;
- management decisions.
Xigna shall not be responsible for any decision made by the Customer based upon information generated by the Service.
19. Subscription Fees and Billing
Customers agree to pay all applicable subscription fees in accordance with the selected subscription plan.
Unless otherwise agreed in writing:
- subscription fees are payable in advance;
- all fees are stated exclusive of applicable taxes;
- Customers remain responsible for all applicable federal, provincial, state, or local taxes.
Failure to pay applicable fees may result in suspension or termination of the Service.
20. Subscription Changes
Customers may upgrade or downgrade subscription plans where available.
Xigna reserves the right to modify subscription offerings, provided that such changes shall not materially reduce services already paid for during the current billing period.
21. Trial Services
Xigna may offer free trials, beta features, preview features, or pilot programs.
Such services:
- are provided "AS IS";
- may contain defects;
- may be modified or discontinued at any time;
- may not be suitable for production use.
No warranty is provided for trial services.
22. Availability
Xigna will use commercially reasonable efforts to maintain Service availability.
The Customer acknowledges that temporary interruptions may occur due to:
- scheduled maintenance;
- software updates;
- infrastructure maintenance;
- security events;
- third-party outages;
- internet failures;
- Force Majeure events.
Availability targets, if any, are governed by the separate Service Level Policy.
23. Acceptable Use
Customers shall use the Service only for lawful business purposes.
Customers shall not:
- violate applicable law;
- upload malicious software;
- interfere with system security;
- reverse engineer the Service;
- circumvent security controls;
- attempt unauthorized access;
- scrape data belonging to other Customers;
- misuse APIs;
- perform denial-of-service attacks;
- use the Service to facilitate fraud or illegal activity.
Xigna may immediately suspend accounts engaged in prohibited conduct.
24. Intellectual Property
All Intellectual Property rights relating to the Service remain exclusively owned by Xigna.
This includes:
- source code;
- object code;
- algorithms;
- machine learning models;
- compliance rules;
- scoring methodologies;
- dashboards;
- reports;
- graphics;
- user interface;
- trademarks;
- documentation.
Nothing in this Agreement transfers ownership of Xigna Intellectual Property.
25. Customer Feedback
Customers may voluntarily provide suggestions, ideas, enhancement requests, or feature proposals.
Unless otherwise agreed in writing:
- Xigna may use such feedback without restriction;
- no compensation shall be payable;
- Customer ownership of Customer Data remains unaffected.
26. Confidentiality
Each party agrees to protect the Confidential Information of the other party.
Confidential Information shall not be disclosed except:
- with written permission;
- where required by law;
- to authorized personnel with a legitimate business need;
- to approved subprocessors bound by confidentiality obligations.
These obligations survive termination of this Agreement.
27. Security
Xigna implements commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Data.
Security measures may include:
- encryption in transit;
- encryption at rest;
- access controls;
- authentication;
- audit logging;
- tenant isolation;
- monitoring;
- secure backups;
- vulnerability management.

28. Third-Party Providers
The Service relies upon certain third-party providers.
Examples include:
- cloud hosting providers;
- accounting software providers;
- authentication providers;
- artificial intelligence providers;
- email providers.
Xigna is not responsible for failures, outages, policy changes, or operational decisions made by third-party providers.
29. Suspension
Xigna may suspend access immediately where reasonably necessary to:
- protect platform security;
- investigate suspected abuse;
- prevent fraud;
- comply with legal obligations;
- address non-payment;
- prevent harm to other Customers.
Where reasonably practicable, Xigna will provide notice before suspension.
30. Termination
Either party may terminate this Agreement in accordance with the applicable subscription terms.
Xigna may terminate immediately where the Customer:
- materially breaches this Agreement;
- repeatedly violates acceptable use requirements;
- engages in unlawful conduct;
- compromises platform security.
Upon termination:
- Customer access shall cease;
- subscription rights expire;
- Customer Data handling shall follow the Data Retention Policy.
31. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINANSA DISCLAIMS ALL WARRANTIES, INCLUDING:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- NON-INFRINGEMENT;
- ACCURACY;
- COMPLETENESS;
- AVAILABILITY;
- ERROR-FREE OPERATION.
Xigna does not warrant that:
- reports are free from error;
- AI Insights are correct;
- simulations will accurately predict future events;
- compliance alerts identify every possible issue;
- uninterrupted access will always be available.
32. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
FINANSA SHALL NOT BE LIABLE FOR:
- indirect damages;
- consequential damages;
- lost profits;
- lost revenue;
- loss of business opportunity;
- business interruption;
- reputational damage;
- loss of goodwill;
- punitive damages;
- exemplary damages.
Xigna's aggregate liability arising under this Agreement shall not exceed the subscription fees actually paid by the Customer during the twelve (12) months preceding the event giving rise to the claim.
Nothing in this Agreement limits liability where such limitation is prohibited by applicable law.
33. Indemnification
The Customer agrees to indemnify and hold harmless Xigna from claims arising out of:
- Customer misuse of the Service;
- Customer violation of applicable law;
- infringement arising from Customer Data;
- unauthorized activities conducted through Customer accounts.
34. Force Majeure
Neither party shall be liable for delays or failures resulting from events beyond reasonable control, including:
- natural disasters;
- war;
- civil unrest;
- terrorism;
- internet failures;
- cloud provider outages;
- cyber attacks;
- labour disputes;
- governmental actions.
Performance shall resume as soon as reasonably practicable.
35. Governing Law
This Agreement shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
The parties agree that Ontario shall be the exclusive jurisdiction for disputes arising from this Agreement unless otherwise required by applicable law.
36. Entire Agreement
This Agreement, together with the Privacy Policy, Cookie Policy, Security & Data Protection Statement, AI Transparency & Responsible AI Policy, Data Processing Addendum (where applicable), and other incorporated policies, constitutes the entire agreement between Xigna and the Customer regarding the Service.
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Failure to enforce any provision shall not constitute a waiver of future enforcement rights.
Xigna may amend this Agreement from time to time. Material changes will be communicated through the Service or other reasonable means. Continued use of the Service following the effective date of revised Terms constitutes acceptance of the revised Agreement.
